Gas Price Guarantee

Welcome to Speedway’s Speedy Rewards Gas Price Guarantee Program (the “Program”). As a member of Speedy Rewards, you are eligible to participate in the Program which will guarantee that you will receive the lowest price for your grade of gas at the participating location of your choice since midnight. The Program is subject to the terms and conditions set forth below, and your use of your Speedy Rewards Card signifies your agreement to the terms and conditions of the Program. These terms are in addition to, and not in lieu of, the Terms and Conditions of for the Speedy Rewards® program, and Speedway’s Privacy Policy, all of which are found at Speedway.com.

(1) Agreement to Terms. You acknowledge that you have read these Terms and Conditions (“Terms”) and that you accept the Terms thereof. Your use of your Speedy Rewards signifies your agreement to the Term.

(2) How it Works. When you use your Speedy Rewards card to purchase gas at participating Speedway locations, you will receive the lowest price for that grade at that location since midnight. You must register your Speedy Rewards card before you can participate in the Program. This can be done online at www.speedway.com, or on the Speedway mobile app. After your card is registered, you must present your Speedy Rewards card at the time of purchase.

(3) Restrictions and Limitations. The Gas Price Guarantee Program:

(a) is not retroactive, so if the price is lower after you make your purchase, you will not be eligible for an adjustment.

(b) is not available at all Speedway locations.

(c) is available for all types of vehicle fuel ,excluding diesel, at participating locations.

(d) is not available for commercial fuel purchases or fuel purchases intended for resale.

(e) has no limit on the number of gallons purchased in a single transaction for a single permitted vehicle.

(f) does not guarantee the availability of any particular type or grade of fuel at all times.

(g) is void where prohibited by law.

(4) How to Make a Claim. If you believe you did not receive the lowest price since midnight for the grade of gas dispensed at the time of your purchase at a participating Speedway location, you must notify Speedway Customer Service at 1-800-643-1948 within forty-eight hours (48) hours of your purchase.

All claims are subject to verification. Claims will not be allowed without a paper receipt showing the completed fuel transaction. Speedway may refuse any claim which, in Speedway’s reasonable judgment, is made fraudulently or in bad faith.

In the unlikely event you did not receive the lowest price, Speedway will issue a Prepaid Fuel Card for the amount of the price difference per gallon multiplied by the number of gallons purchased. If the amount of the price difference is less than one dollar ($1.00), Speedway Customer Service will authorize the participating store to refund the amount to you in cash. Prepaid Cards or refunds will only be issued to the Speedy Rewards account holder. You agree to provide identification as reasonably requested by Speedway.

(5) Modification of the Program. Speedway reserves the rights, at its sole discretion, to change, modify, or cancel the Program, in whole or in part, at any time. Speedway reserves the right to impose limits on the type or amount of fuel eligible for the Gas Price Guarantee. Notification of changes in the Agreement will be posted on www.speedway.com/gaspriceguarantee. Use of the Speedy Rewards program after such notice will be considered your agreement to be bound by any such changes.

(6) Company’s Rights in the Gas Price Guarantee Program. If Speedway’s employees reasonably believe that any fuel transaction violates or will violate these Terms, the fuel transaction may be terminated at any time. Speedway reserves the right to revoke any Speedy Rewards member’s or cardholder’s participation in the Program if Speedway reasonably believes that fuel has been or is being resold, or if any claim for refund has been made fraudulently or in bad faith. Speedway reserves the right to pursue any and all civil and criminal remedies for any breach of these Terms.

(7) Indemnification for Your Breach of Agreement. You hereby agree to indemnify, defend and hold Speedway LLC, and all its officers, directors, owners, agents, and employees (collectively, the “Indemnified Parties”) harmless from and against any and all liabilities and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by You of these Terms including, without limitation, attorneys fees and costs. You shall cooperate as fully as reasonably required in the defense of any claim. Speedway reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of Speedway.

(8) LIMITATION OF COMPANY’S LIABILITY AND DAMAGES. IN NO EVENT SHALL SPEEDWAY BE LIABLE FOR ANY LOSS ARISING FROM LOST OR STOLEN SPEEDY REWARDS CARDS, NOR FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF THE USE OF THE SPEEDY REWARDS PROGRAM OR THE GAS PRICE GUARANTEE PROGRAM. THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST POINTS, OR THE LOSS OF ANY INFORMATION OR DATA. SPEEDWAY’S MAXIMUM LIABILITY TO ANY PERSON ON ANY SINGLE FUEL TRANSACTION (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW) SHALL NOT EXCEED FIFTY DOLLARS ($50.00) FOR ANY DAMAGES OF ANY NATURE, INCLUDING GROSS NEGLIGENCE, ARISING IN CONTRACT, TORT OR OTHERWISE. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

(9) GOVERNING LAW. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF OHIO, WITHOUT REGARD TO CONFLICTS OF LAWS PROVISIONS. SOLE AND EXCLUSIVE JURISDICTION FOR ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE AN APPROPRIATE STATE OR FEDERAL COURT LOCATED IN THE STATE OF OHIO. VENUE SHALL BE LIMITED TO THE COUNTIES OF MONTGOMERY, GREENE OR CLARK, STATE OF OHIO.

(10) Entire Agreement. These Terms constitute the entire agreement between Speedway and you with respect to your participation in the Gas Price Guarantee Program. Any cause of action you may have with respect to your participation in the Program must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of these Terms, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the agreement, and the remainder of this Agreement shall continue in full force and effect.
